Conflict Minerals and Materials Sourcing

Policy Statement

Momentive Performance Materials Quartz, Inc., dba ÁñÁ«ÊÓƵÏÂÔØÎÛ»Æ (¡°Company¡± or ¡°ÁñÁ«ÊÓƵÏÂÔØÎۻơ±) is committed to sourcing materials from companies that share our values around human rights, ethics and environmental responsibility. Our Code of Conduct for Suppliers and Other Third Parties sets forth our position on conflict minerals. We expect all of our suppliers and third parties to conduct business in accordance with our high ethical standards, and we expect them to reasonably ensure that their activities and/or the activities of their suppliers do not finance or otherwise benefit perpetrators of human rights abuses and unethical practices. We also require all suppliers to comply with applicable legal standards and requirements.

The U.S. Securities & Exchange Commission (SEC) adopted rules regarding the reporting and disclosure by manufacturers of their sourcing of conflict minerals (the ¡°Conflict Minerals Rule¡±). The mining and sale of conflict minerals and their refined metals- tantalum, tin, tungsten and gold- have been linked to the financing of armed groups that are perpetrators of human rights abuses in the Democratic Republic of the Congo and adjoining countries (¡°Covered Countries¡±).

ÁñÁ«ÊÓƵÏÂÔØÎÛ»Æ is a privately-held small business, and as such we are not directly subject to the conflict minerals reporting requirements of the Conflict Minerals Rule. Nevertheless, we support the goal ending violence and human rights violations in Covered Countries and we are committed to complying with any requirements applicable to our Company under the Conflict Minerals Rule.

ÁñÁ«ÊÓƵÏÂÔØÎÛ»Æ will assist our customers in implementing their conflict minerals programs. We strive to work cooperatively with our customers and supply chain partners in implementing conflict minerals compliance programs.

ÁñÁ«ÊÓƵÏÂÔØÎÛ»Æ requires all of our suppliers to provide us with completed conflict minerals declarations using the EICC/GeSI Conflict Minerals Reporting Template, or a Company Form of Conflict Mineral Supplier questionnaire/representation. We may reconsider our willingness to partner with suppliers that fail to comply with this policy.
